Terms of Service

These Terms of Service (“Terms”) are a binding agreement between E&EL Global Inc., a company incorporated in the State of Delaware, USA (Registration No. 10241883; Tax ID 39-2947497) (“E&EL Global”, “we”, “us”) and the individual or organization (“you”, “Customer”) that accesses or uses the DealScope platform at ghoststream.exact-it.net and related services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of an organization, you represent that you are authorized to bind it.

1. The Service

DealScope is an AI sales-intelligence and enablement platform that helps teams build a company intelligence foundation, discover and research prospects, analyze competitors, train representatives, schedule and analyze meetings, and generate sales materials. We may add, change, or remove features over time.

2. Accounts & eligibility

You must provide accurate information, use a valid corporate email, complete email verification, and keep your credentials secure. You are responsible for all activity under your account and for your authorized users. You must be at least 18 and use the Service for business purposes.

3. Free trial, subscriptions & billing

We may offer a free trial. Paid plans are billed in advance on a recurring basis per the plan you select; fees are non-refundable except where required by law. We may change pricing on renewal with notice. Failure to pay may result in suspension or termination. Applicable taxes are your responsibility.

4. Acceptable use

You agree not to: (a) use the Service unlawfully or to violate others’ rights; (b) upload content you lack the rights to use; (c) add or process personal data (such as prospect-contact details) without a lawful basis and in breach of applicable privacy, anti-spam, or marketing laws; (d) attempt to access another Customer’s data, reverse-engineer, scrape, or overload the Service; (e) resell or provide the Service to third parties except as permitted; or (f) use outputs to harass, discriminate, or unlawfully target individuals. You are responsible for your team’s compliance.

5. Customer Content & responsibilities

You retain all rights to the data and materials you submit or generate (“Customer Content”). You grant us a limited, non-exclusive license to host, process, and transmit Customer Content solely to provide and improve the Service and as directed by you. You represent that you have all rights and lawful bases necessary for the Customer Content, including any personal data of prospects or contacts you add or import. Our processing of personal data within Customer Content is described in the Privacy Policy and our Data Processing Addendum.

6. AI-generated outputs

The Service uses artificial intelligence and live web data to produce research, prospect discovery, signals, competitive analysis, briefs, drafts (including draft statements of work), and other outputs. These outputs may be inaccurate, incomplete, or out of date, and are provided for decision-support only — not as legal, financial, or professional advice, and not as verified statements of fact about any third party. You are responsible for reviewing and verifying outputs before relying on or acting on them, and for any documents you send to third parties.

7. Third-party services

The Service integrates with third-party providers (e.g., AI, search, recording, email, calendar, and CRM providers). Your use of those integrations may be subject to the third party’s terms, and we are not responsible for third-party services. Meeting recording features must be used in compliance with applicable consent and recording laws in your jurisdiction and that of meeting participants.

8. Intellectual property

The Service, including its software, design, and trademarks (including “DealScope”), is owned by E&EL Global Inc. and its licensors and is protected by law. Except for the rights expressly granted to you, we reserve all rights. Feedback you provide may be used by us without obligation.

9. Confidentiality

Each party may receive the other’s non-public information; the receiving party will protect it with reasonable care and use it only to perform under these Terms, except where disclosure is legally required.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT OUTPUTS WILL BE ACCURATE OR ERROR-FREE. WE DO NOT WARRANT UNINTERRUPTED OR SECURE OPERATION.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY.

12. Indemnification

You will defend and indemnify E&EL Global Inc. against third-party claims arising from your Customer Content, your use of the Service, or your breach of these Terms or applicable law, including privacy or anti-spam laws relating to data you add or contact.

13. Term & termination

These Terms apply while you use the Service. Either party may terminate as set out in your plan or for material breach. You may stop using and close your account at any time. On termination, your right to use the Service ends and we will delete or return Customer Content as described in the Privacy Policy, subject to legal retention requirements. Sections that by nature should survive (e.g., IP, disclaimers, liability, indemnity) will survive.

14. Changes to these Terms

We may update these Terms; we will post the revised version with a new date and, for material changes, provide reasonable notice. Continued use after changes take effect constitutes acceptance.

15. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, USA, except that either party may seek injunctive relief to protect its intellectual property or confidential information.
